RSV Opco 5, Inc. d/b/a Kinto (" Kinto", " Company", " we", " us’, or " our") is committed to support caregivers of older individuals. To do so, Kinto offers a multi-faceted technology platform which includes a mobile application and website (together, our "Platform") and services to support caregivers through a variety of means including personal care coaches and virtual support groups (collectively, the " Services"). " User", " you" or " your" shall refer to either a Care Recipient (defined below) and/or a Caregiver (defined below). By using our Services, you agree to comply with these Terms of Use and our Privacy Policy which can be found at https://www.kinto.care/privacypolicy.

Description of our Services

Our goal is to provide tools and support to individuals, including in-home caregivers, partners, spouses, family members, or friends ( “Caregivers”) who care for older adults (" Care Recipients"). We believe that collaborating with third parties, including national and local organizations which focus on caregiving, life science companies, health care systems, and public and private research institutions is critical to advance our society’s understanding about caring for older adults.

THE COMPANY IS NOT A LICENSED HEALTH CARE PROVIDER AND USE OF OUR PLATFORM AND OUR SERVICES IS NOT INTENDED TO REPLACE PROFESSIONAL HEALTH CARE ADVICE. OUR CARE COACHES OFFER SUPPORT TO CAREGIVERS OF OLDER ADULTS BUT DO NOT DIAGNOSE, TREAT OR MANAGE ANY HEALTH CONDITION.

Use of our Services and Platform; Registration

Our Services are not intended for children under 18 years of age. By using our Platform and other Services, you warrant that you are 18 years of age or older.

Our Services are intended to support Caregivers. Each Care Recipient will have an individual account accessed and used by one or more Caregivers associated with a Care Recipient (“ Care Recipient Account”). Each Caregiver may be referred to as a “ User”.

A Caregiver will register to use the Services by creating the Care Recipient Account and may invite multiple Caregivers to register to access the Care Recipient Account. To register, you will be asked to provide your name, email address, and other information about you as well as the name of the Care Recipient. If any paid features of the Services are selected by you, you may be asked to provide credit or debit card or other payment information. By selecting or enabling a paid service and/or by confirming your desire to make the payment, you authorize Kinto to immediately withdraw funds from your account and/or charge your payment card in the amount confirmed by you.

The Services are comprised of two main components. The first component allows you to:

  • Record notes, events, actions, reminders, tasks, dates, and updates in connection with the personal care of a Care Recipient.
  • Create schedules and keep track of appointments.
  • Communicate with other Users through various means including videoconferencing, chat-based interactions in the application, direct messaging, etc.
  • Upload, store, and view documents related to a Care Recipient.
  • Search for articles, academic postings, blogs, and educational materials about personal care and healthcare issues.
  • Post information to general forums of other Users.

The second component involves interacting with personal care coaches (“ Care Coaches”), through means such as web-based videoconferencing, direct messaging, and audio communications.

Limited License

Subject to these Terms of Use, Kinto grants you a limited, non-transferable, non-exclusive license to access and use the Services and Content for personal, non-commercial, reference, education, and research or training purposes. “ Content” means all information, text, images, links, and tools accessible through the Platform. All rights not expressly granted to you herein are reserved by Kinto.

Restrictions on Use

Your use is limited as follows:

  • You will not use the Services, Platform or Content for unlawful purposes.
  • You must not interfere, disrupt, or damage the operation of Kinto or its Services.
  • You may not distribute, modify, copy, transmit, display, use, reuse, reproduce, publish, assign license, create derivative works from, transfer, translate, sell, reverse engineer, decompile, or otherwise use any of the Services, Platform or Content without Kinto’s written permission.
  • You will not infringe on the copyright or other intellectual property rights of Kinto or others.

Consent to the Services and Use of Electronic Communications

By registering, you consent to your use of the Platform and Services. Kinto and Care Coaches may communicate with you via methods including:

  • Email
  • Videoconferencing
  • Direct Messaging

By registering, you consent to receive electronic communications from Kinto and Kinto’s Care Coaches through various means including notices about your account, informational communications, and promotional communications.

User-Generated Content

Users may contribute content to the Platform. By creating or contributing User Content, you grant Kinto an irrevocable and perpetual, non-exclusive, transferable, royalty-free, world-wide license to use, copy, sub-license, sell, assign, distribute, publicly display, publish, and incorporate into other works that User Content. You agree that any User Content will not contain material that:

  • is false or misleading;
  • violates any person’s privacy rights;
  • infringes any copyright or other intellectual property rights.

Privacy; Confidentiality on the Internet

Our Privacy Policy details how we collect and use personal information when using our Service and Platform.

Intellectual Property

You have no ownership rights in the Services. The Services and all Content are protected by copyright law and other intellectual property laws.

Kinto reserves the right to utilize User Content for various purposes, including research and compliance with legal obligations, on an anonymous basis.

Links to Other Websites

Kinto may include links to third-party sites or services. You should review their terms of use and privacy policies. We do not endorse or take responsibility for these third-party offerings.

Disclaimers

KINTO MAKES NO REPRESENTATIONS OR GUARANTEES CONCERNING KINTO, ANY CONTENT ASSOCIATED WITH USE OF KINTO, OR ANY SERVICES OR PLATFORM PROVIDED BY KINTO. YOU EXPRESSLY AGREE THAT USE OF THE SERVICES AND PLATFORM IS AT YOUR SOLE RISK.

LIMITATION OF LIABILITY

NEITHER KINTO NOR KINTO PARTIES WILL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF, OR INABILITY TO USE, UNAUTHORIZED ACCESS TO, OR MISUSE OF THE PLATFORM.

Indemnification

By using the Services and Platform, you agree to release, indemnify, and hold the Kinto Parties harmless from any claims arising out of or in any way connected with your use of the Services.

Termination

We reserve the right to terminate your use of the Services and Platform at any time for any reason, including access to any online forum. You may deactivate your account by sending an email to support@kinto.care.

Governing Law

These Terms of Use and the Privacy Policy shall be governed by the laws of Massachusetts.

Updates

We reserve the right to change or remove any part of these Terms of Use and your use following any changes signifies your acceptance of those changes.
